# Terms of Use

**Emily Booking** · Effective from: 17 October 2026 · Version 1.0

> **Language note:** The Czech version of these terms is the only legally binding version. This English text is a translation for your convenience and may contain errors. If the versions differ, the Czech version prevails.

## At a glance

- Emily Booking is an online booking system for businesses that take bookings and appointments, such as salons, studios, clinics, coaches and instructors. These terms apply between us and the **Business** that registers an account.
- The service is **free during the pilot**. We will give at least 30 days' notice by email before any paid plan. You decide then whether to continue.
- The pilot is provided **as it is**, without guaranteed availability and, as far as the law allows, without liability on our side.
- **Your clients' data belongs to you.** We process it only for you, under the data processing terms in Annex 1.
- You can stop at any time and ask us to delete your data.

## 1. Who we are and what these terms cover

1.1 The service is provided by **Tranquila casa s.r.o.**, registered office Česká 4754, 760 05 Zlín, Czech Republic, company ID (IČO) 04976207, VAT ID (DIČ) CZ04976207, registered in the Commercial Register kept by the Regional Court in Brno, section C, file 92883 ("**we**", "**us**", "**Emily Booking**").

1.2 These terms apply to the use of the Emily Booking website, staff app, booking pages and related services (the "**Service**") by a business that registers an account (the "**Business**", "**you**").

1.3 The Service is meant for **businesses**. By registering, you confirm that you act for your business (for example as a business owner, sole trader or company representative), not as a consumer, and that you may accept these terms for it.

1.4 Clients of the Business who book through its booking page do not enter into a contract with us. Their appointment is with the Business.

## 2. The Service

2.1 The Service lets the Business publish an online booking page, manage bookings in a staff calendar, set services, prices, opening hours, capacity and breaks, and send automatic booking emails to its clients.

2.2 **Pilot.** The Service is currently in a pilot phase. Features may change, be added or be removed. We will tell you in advance about changes that significantly reduce what the Service does.

2.3 Payments, deposits and online payment of services are not part of the Service at present.

## 3. Account and access

3.1 To register, you provide the business name, your name, a valid email address and a password, and you confirm your email address.

3.2 You keep your login details secret and are responsible for everything done through your account and your staff accounts. Tell us immediately at [dalibor.selucky.tc@gmail.com](mailto:dalibor.selucky.tc@gmail.com) if you suspect misuse.

3.3 You decide which staff get access, and you remove access when someone leaves.

## 4. Your obligations

4.1 You use the Service lawfully. In particular:

- you provide your clients with your own **privacy notice** (as the controller of their data), with a link next to your booking page;
- you enter only data you are allowed to process, and you keep it accurate;
- you do not record **health or other special-category data** in notes unless you have a legal basis for it;
- you do not use booking emails for marketing or spam;
- you set your services, prices and booking rules correctly. You alone are responsible for appointments, prices and the services you provide to your clients.

4.2 You must not:

- try to access the data of other Businesses or bypass security measures;
- overload, disrupt, copy or reverse-engineer the Service, except where the law expressly allows it;
- use the Service for illegal content or activities.

## 5. Fees

5.1 The Service is **free of charge** during the pilot.

5.2 If we introduce paid plans, we will tell you by email at least **30 days** before any fee applies, with the price and conditions. You can then accept, or close your account without any cost.

## 6. Availability and support

6.1 We try to keep the Service available and working. During the pilot, however, we **do not guarantee** any particular availability, response time or error-free operation. Maintenance, updates or outages at our providers (for example Google Cloud, the email provider or HubSpot) may interrupt the Service.

6.2 Support is provided by email at [dalibor.selucky.tc@gmail.com](mailto:dalibor.selucky.tc@gmail.com), on working days, on a best-effort basis.

6.3 Keep your own overview of important appointments, for example by checking the staff calendar regularly. Emails can be delayed or end up in spam folders.

## 7. Data protection

7.1 For **your account data** (you and your staff), we are the controller. Our [Privacy Policy](https://emilybooking.cz/privacy-policy?hsLang=en) applies.

7.2 For **your clients' data**, you are the controller and we are your processor. The data processing terms in **Annex 1** form part of these terms, and you accept them by registering.

## 8. Intellectual property

8.1 The Service, its software, design and content belong to us or our licensors. During the agreement we give you a non-exclusive, non-transferable right to use the Service for your business.

8.2 Your content (business name, logo, texts, services, client data) remains yours. You give us the rights we need to host and display it in order to provide the Service.

8.3 If you send us ideas or feedback, we may use them freely and without obligation to you.

## 9. Liability

9.1 To the fullest extent permitted by law, we accept **no liability** for any damage or loss arising from the use of the Service or from its unavailability. This includes in particular direct, indirect and consequential damage, lost profit, lost bookings and lost data. The Service is provided free of charge during the pilot.

9.2 This exclusion does not apply where Czech law does not allow liability to be excluded in advance. This includes in particular damage caused intentionally or through gross negligence, and harm to a person's natural rights (§ 2898 of the Civil Code).

9.3 You are liable for how you use the Service, for the data you enter and for your relationships with your clients. We recommend that you keep your own record of important appointments.

## 10. Suspension and termination

10.1 You can close your account at any time by email to [dalibor.selucky.tc@gmail.com](mailto:dalibor.selucky.tc@gmail.com).

10.2 We can end the agreement with **30 days' notice** by email. We can suspend or end it immediately if you seriously or repeatedly breach these terms, or if your use endangers the Service, other Businesses or the law.

10.3 After termination, you can ask us within 30 days for an export of your data. After that, we delete your data as described in the Privacy Policy and Annex 1, except where the law requires us to keep it.

## 11. Changes to these terms

We may change these terms, for example because of new features, prices or legal requirements. We will tell you about material changes by email at least **30 days** before they take effect. If you do not agree, you can close your account before that date. If you keep using the Service after the effective date, you accept the new terms.

## 12. Final provisions

12.1 These terms are governed by **Czech law**, in particular Act No. 89/2012 Coll., the Civil Code. The UN Convention on Contracts for the International Sale of Goods does not apply.

12.2 Disputes will be decided by the competent courts in the Czech Republic, with local jurisdiction based on our registered office in Zlín, unless mandatory law provides otherwise.

12.3 If any provision is invalid, the rest of the terms remain in force. The invalid provision will be replaced by a valid one that comes closest to its purpose.

12.4 These terms are published in Czech, English and Vietnamese. **Only the Czech version is legally binding.** The other language versions are translations provided for convenience and may contain errors. If the versions differ, the Czech version prevails.

12.5 Contact: [dalibor.selucky.tc@gmail.com](mailto:dalibor.selucky.tc@gmail.com), Tranquila casa s.r.o., Česká 4754, 760 05 Zlín, Czech Republic.

Subject matter, nature and purpose.** Storage and processing of booking data so that the Business can take and manage appointments online, show availability, and send booking emails (confirmation, change, cancellation, reminder) to its clients. - No special-category data is intended to be processed (see 4.1).

**A5. Instructions.** We process the data only on the Business's documented instructions. These terms and the Business's settings and actions in the Service are those instructions. We inform the Business if we believe an instruction breaks data protection law. We do not process the data for our own purposes.

**A6. Confidentiality.** Everyone we authorise to process the data is bound to confidentiality.

**A7. Security.** We take the measures described in section 10 of the Privacy Policy: encryption in transit and at rest, separated business accounts, server-side access control, minimal access and secret management. We review them regularly.

- Resend, Inc. (sending emails; EU sending region, US company);
- HubSpot, Inc. / HubSpot Ireland Ltd (only if the Business uses the HubSpot features).

We will tell the Business at least **30 days** in advance about any new or replaced sub-processor. The Business may object for justified reasons, and may end the agreement if no solution is found. We bind every sub-processor to the same data protection obligations.

**A11. Deletion.** Unless the Business sets shorter periods, the Service deletes or anonymises:

- bookings and notes 2 years after the client's last visit;

When the account ends, we return the data on request (A10) and delete it no later than 2 years after the account is closed, unless the law requires us to keep it.
